Terms of Service
Last updated: [DATE]
The short version
These terms cover use of this website and set the defaults for how work with me runs. A signed project agreement overrides them wherever the two differ. In practice: a deposit before work begins, changes quoted before they happen, ownership of the deliverables passing to you on full payment, and liability capped at the fees paid for the project. The full terms are below.
On this page
01Agreement to These Terms
By using mubeendewani.com or engaging our services, you agree to these terms. If you don't agree with them, please don't use the site or the services.
In these terms, "we", "us" and "our" refer to Mubeen Dewani, based at Karachi, Pakistan, Karachi, Pakistan. "You" and "client" refer to the person or business using the site or engaging us.
Where you have signed a separate project agreement or statement of work with us, that document takes precedence over these terms wherever the two differ.
02Use of This Website
You may use this site for legitimate business purposes. You may not:
- Attempt to gain unauthorized access to any part of the site or its systems
- Use automated tools to scrape or copy content at scale
- Submit false information through our forms
- Use the site to distribute malware or conduct attacks
- Copy our written content, case studies or code samples for commercial use without permission
The content on this site — text, design, code, images and case studies — belongs to us unless stated otherwise. You're welcome to quote or reference it with attribution.
Site availability: we aim to keep the site available at all times but don't guarantee uninterrupted access. We may take it down for maintenance without notice.
03Services and Quotations
What we offer
We provide AI automation, AI integration, digital transformation, custom software development, and web and ecommerce development services, as described on this site.
Quotations
- Quotes are based on the scope described at the time of quoting
- Quotes are valid for [30] days unless stated otherwise
- A quote is not a contract. Work begins once you accept in writing and the deposit is received
- Where scoping or assessment work is required to produce an accurate quote, that work is chargeable and quoted separately
Free consultations and audits
We offer free initial calls and website audits. These are provided in good faith with no obligation on either side, and nothing in them constitutes a binding commitment or professional advice you should rely on without your own verification.
Estimates
Timelines given in proposals are estimates based on the agreed scope and on receiving what we need from you on time. Delays in content, access or feedback will move the timeline, and we'll tell you when that happens rather than absorbing it silently.
04Payment
Structure
- A deposit of [PERCENTAGE]% is payable before work begins
- The balance is invoiced [on completion / at agreed milestones]
- Projects over [DURATION] are invoiced in milestones set out in the proposal
- Retainers are invoiced monthly in advance
Terms
- Invoices are payable within [14 / 30] days of issue
- Prices are quoted in [CURRENCY] and exclude any applicable taxes
- Bank transfer fees and currency conversion costs are the client's responsibility
- Late payments may incur interest at [RATE]% per month
If an invoice goes unpaid
We may pause work on the project after [X] days, and suspend access to deliverables or hosted work. Ownership of deliverables does not transfer until payment is received in full — see Section 7. We will always tell you before pausing anything.
Refunds
Deposits cover time reserved and work already started, and are non-refundable once work has begun. Where a project is cancelled part-way, you pay for work completed to that point and we deliver what has been produced.
05Scope and Changes
What's included
The proposal defines the scope. It also states what is explicitly excluded — that exclusion list is part of the agreement, not a formality.
Changes during the project
Small adjustments within the agreed scope are normal and absorbed at no extra cost. Anything that adds functionality, pages, integrations or design work beyond the proposal is a change, and we'll quote it separately with its own price and timeline impact before doing it.
Nothing gets added silently, and nothing gets dropped silently.
Revisions
[NUMBER] rounds of revision are included at the design stage and [NUMBER] at the build stage. Further rounds are charged at [RATE].
06Client Responsibilities
For us to deliver on time, you agree to:
- Provide content, assets, access credentials and information we've requested, within reasonable timeframes
- Give feedback within [X] working days at each review point
- Nominate one person with authority to approve work
- Ensure you have the rights to any content, images or material you supply
- Maintain your own backups of any existing site or system before we begin work on it
On supplied content: you confirm that anything you give us — text, images, logos, data — is yours to use or properly licensed. We aren't liable for claims arising from material you supplied.
On delays: if a project stalls on our side, that's on us. If it stalls waiting on content or approvals for more than [30] days, we may invoice work completed to date and reschedule the remainder based on availability.
07Ownership
What you own
On full payment, you own:
- All custom code written specifically for your project
- The designs created for your project
- Your content, data and assets
- The repository, hosting accounts and domain, which are registered in your name
- All documentation produced for the project
Before full payment
Ownership transfers on receipt of full payment. Until then, deliverables remain our property and are licensed to you only for review. In practice this matters only if an invoice goes unpaid — it exists so that non-payment has a consequence, not as something we expect to use.
What we retain
We keep ownership of:
- Pre-existing tools, libraries, boilerplate and internal frameworks we bring to the project
- General knowledge, techniques and methods used in the work
Where our own pre-existing code is part of your deliverable, you get a perpetual, unlimited licence to use, modify and distribute it as part of your project. You are never dependent on us to keep using what we built.
Third-party components
Projects may include open-source libraries, commercial plugins, themes or SaaS services. These remain under their own licences, and any recurring licence fees are your responsibility. We'll tell you what's involved before using anything with an ongoing cost.
Portfolio rights
Unless you tell us otherwise in writing, we may:
- Display the work in our portfolio and case studies
- Name you as a client
- Describe the problem solved and the results achieved
If you'd prefer the work stay confidential, or you're happy to be shown but not named, just say so and we'll respect it — before or after the project.
AI-assisted development
We may use AI coding tools during development. All code delivered is reviewed, tested and our responsibility regardless of how it was produced. Where you require that no AI tools touch your codebase, or that your code is never sent to an external provider, tell us during scoping and we'll work accordingly.
08Confidentiality
Both sides agree to keep confidential any non-public information shared during a project — business information, technical details, credentials, data and commercial terms.
This obligation continues after the project ends. It doesn't apply to information that is already public, was already known, or must be disclosed by law.
Where you require a separate NDA, we'll sign one before any project details are shared.
09Warranties and Disclaimers
What we warrant
- Work will be performed with reasonable skill and care, to professional standards
- Deliverables will materially match what the proposal described
- We have the right to provide the work and to grant the licences in Section 7
Defect period
We fix defects in our work free of charge for [30 / 60 / 90] days after delivery. A defect means the deliverable doesn't function as specified — not a change of mind, a new requirement, or an issue caused by changes someone else made after handover.
What we don't warrant
- That software will be entirely free of errors — no software is
- Specific business outcomes such as rankings, traffic, sales or conversion rates
- Uninterrupted availability of third-party services, APIs or hosting we don't control
- Continued compatibility with third-party platforms that change their own systems
- That AI-based features will produce a specific accuracy level, beyond what is agreed in writing for that project
On AI features specifically: AI systems produce probabilistic output and can be wrong. Where we build AI features, we implement the safeguards described in the project agreement — grounding, confidence thresholds, human review paths — but we can't warrant that an AI system will never produce an incorrect result.
10Limitation of Liability
To the fullest extent permitted by law:
- Our total liability arising from any project is limited to the total fees paid by you for that project
- We are not liable for indirect or consequential losses, including lost profits, lost revenue, lost data, or business interruption
- We are not liable for issues arising from third-party services, hosting failures, platform changes, or content you supplied
- We are not liable for losses arising from changes made by you or another party after handover
Nothing here limits liability for fraud, gross negligence, or anything that can't be limited by law.
Indemnity
You agree to indemnify us against claims arising from content or material you supplied, or from your use of the deliverables in a way not agreed between us.
11Termination
By you
You may cancel a project at any time with written notice. You pay for work completed up to that point, and we deliver what has been produced. Deposits already paid are not refunded, as they cover reserved time and work started.
By us
We may end an engagement with written notice where:
- Invoices remain unpaid beyond the agreed terms
- The working relationship has become unworkable
- You ask us to do something unlawful or against our professional judgement
- The project has stalled awaiting your input for more than [60] days
If we end a project, you pay for work completed and we hand over everything produced to that point.
Retainers
Either side may end a retainer with [30] days written notice. Fees for the current period are not refunded.
12Third-Party Services
Projects commonly involve services we don't control — hosting, payment gateways, APIs, AI providers, plugins, SaaS platforms.
- These operate under their own terms, which you agree to separately
- Recurring fees and licence costs are your responsibility
- We aren't liable for their downtime, pricing changes, policy changes, or discontinuation
- Where a third-party change breaks something we built, fixing it is chargeable work unless it falls inside the defect period and was caused by our implementation
We'll always tell you what third-party dependencies a project will have, and what they cost, before we build on them.
13General
Governing law
These terms are governed by the laws of Pakistan. Disputes are subject to the exclusive jurisdiction of the courts of [Karachi, Sindh].
Dispute resolution
Before starting formal proceedings, both sides agree to attempt to resolve any dispute through direct discussion in good faith.
Severability
If any part of these terms is found unenforceable, the rest remains in effect.
Assignment
Neither side may transfer its rights or obligations without the other's written consent.
Entire agreement
These terms, together with any project agreement or proposal you've signed, form the complete agreement between us.
14Changes and Contact
Changes
We may update these terms. The date at the top shows the last revision. Changes apply to new engagements — existing projects continue under the terms in place when they started.
